Agreement to Terms
These Terms of Service ('Agreement') govern access to and use of ChangeMap and related websites, applications, APIs, and services provided by Prodio, Inc. d/b/a ChangeMap ('Prodio', 'ChangeMap', 'we', 'our', or 'us'). By accessing or using the Services, you agree to this Agreement.
Eligibility
The Services are intended solely for business users. You represent that you are at least eighteen (18) years old and have authority to bind any entity on whose behalf you use the Services.
Access to Services
ChangeMap is an AI-enabled system of evidence designed to help organizations collect, interpret, organize, analyze, and evaluate operational and organizational information in support of change management, transformation management, program management, project management, customer success, and related business activities. The Services may generate signals, runtime evaluations, risk indicators, recommendations, summaries, trends, and other outputs derived from customer-provided information and system-generated analysis. Prodio may modify, suspend, or discontinue features from time to time.
Intellectual Property
Prodio and its licensors retain all right, title, and interest in and to the Services. Subject to this Agreement, Prodio grants Customer a limited, non-exclusive, non-transferable, revocable right to access and use the Services for internal business purposes.
Customer Data
Customer retains ownership of Customer Data. Customer grants Prodio a limited license to host, process, transmit, store, analyze, display, and otherwise use Customer Data as necessary to provide, secure, maintain, support, and improve the Services. Customer represents it has all rights necessary to provide such data.
Special Category Data
Customer shall not upload, transmit, or otherwise make available Special Category Personal Data, including health information, biometric data, racial or ethnic origin, religious beliefs, trade union membership, political opinions, or similar sensitive information unless expressly authorized in writing by Prodio.
AI-Enabled Features
The Services include artificial intelligence and machine-learning-enabled features that may generate interpretations, classifications, summaries, evaluations, recommendations, trends, risk indicators, and other outputs ('AI Outputs'). AI Outputs are generated using probabilistic methods and may be inaccurate, incomplete, misleading, outdated, or inappropriate for a particular circumstance. Customer remains solely responsible for reviewing, validating, and determining the appropriateness of any AI Output and for all decisions, actions, and omissions arising from its use.
Confidentiality
Each party agrees to protect the other party's Confidential Information and use such information only as necessary to perform obligations under this Agreement. Confidentiality obligations survive termination subject to customary exceptions.
Fees and Billing
Subscriptions are purchased and managed through Stripe unless otherwise agreed in writing. Fees are billed according to the selected subscription plan and applicable usage. Fees are non-refundable except where required by law.
Restrictions
Customer shall not reverse engineer the Services, build competing services from the Services, distribute malware, violate law, infringe rights, conduct unlawful surveillance, make solely automated employment decisions, unlawfully discriminate, or process prohibited sensitive personal data without authorization.
Third-Party Services
ChangeMap relies on third-party providers including Vercel, Supabase, OpenAI, Anthropic, Stripe, Postmark, Featurebase, Google Analytics, and Cloudflare. Prodio is not responsible for the operation, availability, or policies of third-party services.
Disclaimers
THE SERVICES ARE PROVIDED 'AS IS' AND 'AS AVAILABLE.' ChangeMap may generate interpretations, classifications, evaluations, risk indicators, recommendations, summaries, trends, and other outputs derived from customer-provided information and system-generated analysis. Such outputs are probabilistic in nature and may be inaccurate, incomplete, inconsistent, or unavailable. The Services support decision-making and analysis and are not a substitute for professional judgment.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PRODIO'S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF (A) AMOUNTS PAID BY CUSTOMER DURING THE TWELVE MONTHS PRECEDING THE CLAIM OR (B) $100 USD. NEITHER PARTY SHALL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES EXCEPT AS PROHIBITED BY LAW.
Indemnification
Customer shall defend, indemnify, and hold harmless Prodio from third-party claims arising from Customer Data, Customer's use of the Services, or Customer's violation of this Agreement.
Termination and Data Retention
Either party may terminate access in accordance with this Agreement. Deleted data may remain recoverable for up to seven (7) days before permanent deletion, subject to backup retention, legal obligations, and disaster recovery requirements. Trial data may be deleted following expiration of a trial account in accordance with ChangeMap's data retention practices.
Privacy
Use of the Services is subject to the ChangeMap Privacy Policy and applicable Data Processing Addendum where required.
Customer References
Prodio may identify Customer as a customer of ChangeMap and use Customer's name or logo only with Customer's prior consent.
Governing Law
This Agreement is governed by the laws of the State of Wisconsin. Exclusive jurisdiction and venue shall lie in the state and federal courts located in Dane County, Wisconsin.
Miscellaneous
This Agreement constitutes the entire agreement between the parties regarding the Services and supersedes prior understandings relating to the Services.
